227 cases won and a closed business - the story of BPO International

The case of BPO International is one of the most shocking stories of recent years, showing the scale of the problems Polish entrepreneurs can face when up against the tax authorities. The company, which provides outsourcing services, won as many as 227 cases against the tax authorities before the administrative courts - the courts found that almost 90% of the officials' decisions had no legal basis.

Despite such an overwhelming record in court, two BPO subsidiaries had to cease operations. PLN 19 million was trapped in frozen bank accounts, and the company's president, Monika Kamińska, was forced to dismiss more than a thousand employees. This story shows that simply winning a case in court is not always enough when the tax authorities take action that the courts have described as "feigning proceedings"”.

The BPO International case is a warning to every entrepreneur in Poland. Even if the law is on your side, without a proper legal strategy and a swift response to the tax authorities' actions, you could lose the work of a lifetime. That is why it is so important to know your rights and to know when to seek professional legal help.

Controversial tax audit methods - what are officials allowed to do?

The description of the methods used against BPO International raises serious doubts about the proportionality of the tax authorities' actions. According to the company president's account, a tax service officer personally delivered summonses to the company's employees, turning up at their homes before six in the morning - in full uniform and carrying a firearm. It is hard to describe such actions as anything other than a show of force and intimidation.

What is more, when the company submitted requests to have this particular official removed from the proceedings due to lack of impartiality, the refusals were reportedly prepared by... the same officer. This is a flagrant breach of the rules of administrative procedure, which guarantee parties the right to have their case heard impartially.

It is worth knowing that Polish law sets out the powers of the tax audit authorities precisely. An entrepreneur has the right to:

Every entrepreneur should know these rights before an audit arrives. Knowing your rights is the first line of defence against abuse by the tax authorities.

The origins of BPO International's problems go back to the end of 2021. Tax officials in Warsaw opened proceedings concerning transactions between Polish companies and a contractor from Malta. The company provided outsourcing services - logistics support and translation - and applied the VAT reverse charge mechanism in its accounting. Under these rules, the tax is accounted for by the recipient of the service in the country where it is established, not by the seller.

The tax authorities challenged this approach, concluding that the place of supply of the services was in Poland, and that the company should therefore have issued invoices with Polish VAT at 23%. As a result, six decisions were issued demanding payment of more than PLN 20 million in alleged tax arrears. At the same time, the company's bank accounts were immediately frozen, cutting it off from the funds needed to run its business.

The administrative courts clearly sided with the entrepreneur. In the reasoning of their judgments, the judges explicitly pointed out that the officials lacked knowledge of the case and ignored the case law of the Court of Justice of the European Union (CJEU). The question of determining the place of supply of services in international transactions is regulated both in the Polish VAT Act and in the EU VAT Directive, and CJEU case law has repeatedly clarified how these provisions should be applied.

Tax adviser Paweł Zemła, representing BPO International, assessed that the officials' actions went beyond the limits of the law. In his view, the tax authorities knowingly pressed on with further proceedings, even though they were aware of the errors they were making. The strategy was to open new cases "back to back" ”- when one decision was set aside by a court, another with identical content appeared immediately.

Freezing of bank accounts - a weapon that destroys businesses

The freezing of bank accounts is one of the most effective tools in the hands of the tax authorities - and at the same time one of the most destructive for entrepreneurs. In the case of BPO International, freezing PLN 19 million in the company's accounts effectively made it impossible to continue operating, even despite favourable court judgments.

The problem is that the freeze takes effect immediately, before the case is finally resolved. The company loses access to the funds needed to pay salaries, pay suppliers and settle current liabilities. As a result, even an entrepreneur who is in the right and ultimately wins in court may not live to see a favourable judgment, because their business will simply cease to exist.

That is why an immediate legal response is so important when tax proceedings are opened. An experienced representative can apply for a stay of execution of the decision, challenge the orders on security measures, and make use of the interim protection measures available before the administrative courts. Every day of delay reduces the chances of saving the business.

How to protect your business from abuse in tax audits

The story of BPO International, though dramatic, offers important lessons for every entrepreneur doing business in Poland. Here are the key conclusions and recommendations:

Prevention and preparation

The best defence begins long before an audit. Entrepreneurs should ensure they keep reliable tax documentation, carry out a regular compliance review (a check of conformity with the regulations) and work with a tax adviser who will identify potential risks. In particular, international transactions and VAT settlements with foreign contractors require special care and an unambiguous legal classification.

A swift response to the actions of the tax authorities

When an audit or proceedings are opened, the key step is an immediate consultation with a lawyer specialising in tax law. The deadlines for filing appeals, complaints and court actions are strictly defined in the regulations, and missing them may close the door to an effective defence. It is not worth waiting to see how events unfold - the sooner you engage a professional representative, the greater the chances of protecting the company's assets.

Documenting violations

If officials use questionable methods - such as intimidating employees, harassing the company with successive identical proceedings or blocking requests to remove a biased official - each such incident should be documented in detail. It serves as evidence both in administrative court proceedings and in any claim for compensation from the State Treasury under Article 417 of the Civil Code.
