PIP Reform 2026 - New Powers over B2B Contracts
In July 2026, the reform of the National Labour Inspectorate (PIP) comes into force, fundamentally changing the rules for inspecting cooperation based on the B2B model. The greatest controversy surrounds the power given to PIP inspectors to establish an employment relationship administratively - including in relationships between two business entities. In practice, this means that a contract between a company and a person running a sole proprietorship (JDG) can be recharacterised as an employment contract without the need to bring a claim before a labour court.
The change particularly affects sectors where self-employment is a common form of cooperation - the IT sector, advisory services, marketing and the creative industry. For thousands of entrepreneurs and their clients, the reform means an urgent need to audit existing contracts for compliance with the new requirements. Ignoring this obligation may lead to severe financial consequences, reaching back several years.
It is worth stressing that both PIP and the Social Insurance Institution (ZUS) are gaining access to tools enabling mass, algorithmic verification of entities. Data from the Central Register and Information on Economic Activity (CEIDG) and the National e-Invoicing System (KSeF) will allow the authorities to automatically identify self-employed individuals who show full economic dependence on a single client. These are the people who will be targeted for inspection first.
When a B2B Contract Will Be Treated as Disguised Employment - Key Criteria
During inspections, PIP inspectors will examine whether the B2B relationship constitutes circumvention of labour law for the purpose of tax and contribution optimisation. There are several elements which, in the eyes of the inspection authorities, clearly indicate that the self-employment is a sham. Knowing these criteria is essential for structuring the contract properly.
Here are the most important factors that may result in the reclassification of a B2B contract as an employment relationship:
- Economic dependence on a single client - issuing only one invoice per month to the same principal over a long period, having no client base of one's own, and using only the client's equipment, software and email domain.
- Paid breaks in providing services (sham holiday) - clauses guaranteeing the self-employed person, for example, "26 days of paid break in a calendar year" are treated as a direct copy of the annual leave provisions of the Labour Code.
- Non-compete clause without financial compensation - an absolute ban on working with other entities without simultaneous compensation suggests an employee's duty of loyalty, rather than a civil-law obligation between equal partners.
- Fixed hours and place of providing services - an obligation to be present at the client's office at set times, being subject to direct supervision and reporting working time.
The key to protecting entrepreneur status is demonstrating genuine business risk and autonomy in organising work. The more features of employment a contract contains, the greater the likelihood that it will be challenged.
Financial Consequences of Reclassification - How Much a Mistake Can Cost
The financial effects of a regional labour inspector's decision establishing an employment relationship are exceptionally severe for companies. Importantly, full responsibility for incorrectly classifying the form of engagement rests with the engaging entity - that is, the client, not the self-employed person.
Once the PIP decision becomes enforceable, the company must retroactively register the person for social insurance as an employee. On the basis of PIP's findings, ZUS carries out an additional assessment of pension, disability, sickness and accident insurance contributions together with statutory default interest. The correction period may reach back as much as 5 years, which for long-running contracts generates liabilities running into hundreds of thousands of zloty.
In addition, the new act raises the maximum fine for offences against employees' rights to PLN 60,000. Reclassification also triggers an avalanche of tax consequences - the VAT invoices issued become defective documents, the self-employed person loses the right to flat-rate income tax or lump-sum taxation, and the Polish Tax Office (urząd skarbowy) recalculates liabilities according to the tax scale applicable to employment. In practice, this means the employee must pay additional income tax and the company must correct its deductible costs.
How to Secure a B2B Contract - Practical Solutions
The most effective way to protect against reclassification is a professional legal audit of existing B2B contracts and implementing changes before the act enters into force. There are several specific measures that can significantly reduce the risk of PIP challenging a contract.
Properly Drafting Clauses on Breaks in Providing Services
Instead of provisions on "paid leave", the contract should use the concept of technical breaks or renegotiation of the schedule. It is worth defining the remuneration as a lump sum for a given period, with the contractor having the right to temporarily refrain from activities in order to "regenerate creative potential" - provided the contractual objectives are met. Such a construction departs from the concept of leave and strengthens the contractor's autonomy.
Individual Interpretation by the Chief Labour Inspector
The amendment introduces individual interpretations of labour law, modelled on tax rulings. For a fee of just PLN 40, an entrepreneur can apply to the Chief Labour Inspector for an assessment of a B2B contract template. A positive interpretation means that a field inspector will not challenge the contract provisions, provided the actual situation matches the description in the application. This tool gives real legal protection and should be used by every company working with self-employed individuals.
Diversifying Cooperation and Genuine Independence
Self-employed individuals should ensure they have more than one client, use their own work tools and organise the time and place of providing services themselves. Each of these elements strengthens the argument of genuine business independence and makes it harder for the authorities to demonstrate features of employment.
Don't Wait for an Inspection - Contact a Lawyer
The July 2026 PIP reform is the most serious change to the regulatory environment for B2B contracts in years. Algorithmic verification of data from CEIDG and KSeF means inspections will no longer be a matter of chance - the authorities will actively look for suspicious patterns of cooperation. The consequences of reclassification include years of contribution arrears, tax corrections and fines of up to PLN 60,000.
